User Agreement for Sophie Orozco Coaching

IMPORTANT: READ CAREFULLY BEFORE ACCESSING OR USING SOPHIE OROZCO COACHING PROPRIETARY MATERIALS INCLUDING ANY AUDIO AND OR VISUAL PRESENTATIONS, MEMBERS AREA, AND OR PROGRAMS ASSOCIATED WITH SOPHIE OROZCO COACHING. BY ACCESSING OR USING THE PROGRAM(S), YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, YOU UNDERSTAND IT, AND YOU ACCEPT AND AGREE TO BE BOUND BY ITS TERMS.

IF YOU DO NOT AGREE, DO NOT UNDERSTAND, OR DO NOT ACCEPT THIS AGREEMENT, PLEASE DO NOT ACCESS OR USE ANY OF SOPHIE OROZCO COACHING PROPRIETARY MATERIALS INCLUDING ANY AUDIO AND OR VISUAL PRESENTATIONS, MEMBERS AREA, AND OR PROGRAMS ASSOCIATED WITH SOPHIE OROZCO COACHING, AND CONTACT US IMMEDIATELY AT support@sophieorozco.com

This Agreement (“Agreement”) is a legal contract between SOPHIE OROZCO COACHING, located at 1980 Dawson Road, Charleston, SC 29412, and YOU the client, collectively the Parties.

WHEREAS, SOPHIE OROZCO COACHING is engaged in the business of client coaching services; and

WHEREAS, YOU desire to engage SOPHIE OROZCO COACHING to provide coaching services to YOU in the form of Webinars, Audio and or Visual Presentations, and periodic personal coaching and evaluation.

NOW, THEREFORE, the Parties agree as follows.

SECTION 1: Membership and Program Fees

1.1 Programs

Under the terms of this Agreement, SOPHIE OROZCO COACHING agrees to provide coaching services to YOU in the form of Webinars, Audio and or Visual Presentations, and periodic personal coaching and evaluation (“Program(s)”) in exchange for a Program Fee. Program Fees will be determined according to paragraph 1.2 below. Your access to such Programs is made conditional on payment of such Program Fee.

1.1.2 Term

The Term of this Agreement will commence upon YOUR acceptance and payment of the applicable Program Fee. YOU agree and understand that upon commencement of the Term of this Agreement, you will become enrolled in the course Relationship Miracle Method.

1.1.3 Termination

SOPHIE OROZCO COACHING may terminate this Agreement at any time in its discretion upon notice to YOU. Paragraph 3.1 below shall survive termination of this Agreement, binding YOU to Confidentiality in perpetuity.

1.2 Program Fees

By accepting the terms of this Agreement, YOU agree and understand that you are committing to pay SOPHIE OROZCO COACHING the stated fee in full or through an approved payment plan.

ALL FEES ARE NON REFUNDABLE.

1.3 Promotional Material

By accepting the terms of this Agreement and affirmatively seeking the benefits of membership in the Program(s) offered by SOPHIE OROZCO COACHING, YOU agree that SOPHIE OROZCO COACHING may reproduce and or disseminate testimonials describing YOUR experience in the Program(s). This includes written statements, social media posts, images, audio, or video recordings captured during participation in Program related events. YOU represent that any such statements made by YOU shall be truthful and accurate.

1.4 No Refunds

SOPHIE OROZCO COACHING abides by a strict no refund policy. By accepting the terms of this Agreement, YOU acknowledge that YOU are foregoing the right to request any refund of fees paid. YOU accept full responsibility for YOUR participation and results.

SECTION 2: NO WARRANTIES

2.1 Success Not Guaranteed

YOU understand and agree that SOPHIE OROZCO COACHING provides coaching services only and makes no guarantees regarding specific outcomes or results. Individual results vary and depend on many factors including personal effort and consistency.

2.2 Limited Liability

YOU acknowledge that coaching is intended for personal growth and support only. SOPHIE OROZCO COACHING is not responsible for any outcomes, decisions, or consequences resulting from YOUR participation in the Program(s).

2.3 Commitment to the Program

By accepting this Agreement, YOU agree to engage fully in the Program(s), complete assigned coursework, and attend scheduled sessions to the best of YOUR ability. YOU understand that results require effort and personal responsibility.

SECTION 3: CONFIDENTIALITY AND INTELLECTUAL PROPERTY

3.1 Confidentiality

Only authorized users who have agreed to this Agreement may access the Program(s). YOU may not share, reproduce, distribute, or disclose any Program materials, login credentials, audio, video, or documentation to any third party.

3.2 Intellectual Property

All Program materials are the exclusive intellectual property of SOPHIE OROZCO COACHING and are protected under United States and international intellectual property laws. This Agreement grants YOU a limited, revocable, non transferable license for personal use only.

SECTION 4: MISCELLANEOUS

4.1 Non Transferability

The rights and obligations under this Agreement are personal to YOU and may not be assigned or transferred.

4.2 Indemnification

YOU agree to indemnify and hold harmless SOPHIE OROZCO COACHING, its agents, and employees from any claims, damages, losses, or expenses arising from YOUR participation in the Program(s).

4.3 Integration

This Agreement represents the entire understanding between the Parties and supersedes all prior agreements or representations.

4.4 Amendment

SOPHIE OROZCO COACHING reserves the right to amend this Agreement at any time by posting an updated version and notifying participants by email.

4.5 Governing Law

This Agreement shall be governed by the laws of the State of South Carolina. Venue for any dispute shall be Charleston County, South Carolina.

4.6 Attorneys Fees

The prevailing party in any legal action arising under this Agreement shall be entitled to recover reasonable attorneys fees and costs.

4.7 Severability

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

SECTION 5: SMS AND TEXT MESSAGE COMMUNICATIONS

5.1 Consent

By providing your phone number through this website, applications, booking forms, checkout pages, or other opt in methods, YOU consent to receive text messages from SOPHIE OROZCO COACHING related to inquiries, scheduled calls, program participation, reminders, updates, and service related communications.

Message frequency may vary.

Message and data rates may apply.

5.2 Opt Out

YOU may opt out of receiving text messages at any time by replying STOP to any message. Upon opting out, YOU will no longer receive SMS messages unless YOU re opt in.

ACKNOWLEDGMENT

BY PURCHASING, ACCESSING, OR PARTICIPATING IN ANY PROGRAM OFFERED BY SOPHIE OROZCO COACHING, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO ALL TERMS OF THIS AGREEMENT INCLUDING PROGRAM FEES, NO REFUND POLICY, CONFIDENTIALITY, AND SMS COMMUNICATION TERMS.
